These Terms of Use ("Terms") govern access to and use of websites, applications, add-ins, application programming interfaces, learning content, reports, support, and related services provided by DonnaKyle, Inc., doing business as Awesome People Leaders ("APL," "we," "us," or "our"). These offerings include AwesomeEQ and AwesomeWork (collectively, the "Services"). AwesomeWork is the Gmail and Outlook add-in offered as part of AwesomeEQ.

By accessing or using the Services, you agree to these Terms. If you use the Services for an employer or another organization (a "Client"), you represent that you are authorized to use the Services under that Client's account. If an order form, master services agreement, subscription agreement, data-processing agreement, or other written agreement between APL and a Client conflicts with these Terms, the written agreement controls for that Client.
1. Eligibility and accounts
You must provide complete and accurate registration information and keep your login credentials confidential. You are responsible for activity under your account. Notify APL promptly if you believe an account, credential, or personal information has been compromised.
A Client may provision, limit, suspend, or end an Authorized User's access. APL may suspend or terminate an account that violates these Terms, threatens the Services or another person, or must be restricted to comply with law. Suspension or termination does not excuse amounts already owed.
You may stop using the Services at any time. Contact APL or the Client that provides your access for account closure. Removing an add-in or revoking platform access stops new access but does not automatically delete information that APL may lawfully retain. The Privacy Policy explains deletion requests and retention.
2. License and permitted use
Subject to these Terms and any Client agreement, APL grants you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable right to use the Services for their intended business purpose during the applicable subscription term.
You may not:
-
copy, modify, distribute, sell, lease, sublicense, or create derivative works from the Services except as law permits or APL authorizes in writing;
-
reverse engineer, decompile, or attempt to discover source code or non-public technical methods, except where applicable law does not permit this restriction;
-
bypass security, access controls, usage limits, or product entitlements;
-
use the Services to violate law, another person's rights, or a Client's policies;
-
introduce malicious code, interfere with the Services, or attempt unauthorized access;
-
use the Services or their output to build or train a competing generalized AI model without APL's written permission; or
-
misrepresent AI-generated guidance as a decision made by APL or as professional legal, medical, financial, or human-resources advice.
APL and its licensors retain all rights not expressly granted by these Terms. APL may release updates, fixes, or new versions. You may need to install or use an updated version to continue accessing the Services.
3. Email add-ins and user choice
AwesomeWork lets a user request coaching about a selected email in Gmail or Outlook. It is limited to the message the user has opened or is drafting. It does not scan the user's mailbox in the background.
The add-in may transmit the selected message, relevant message metadata, and APL course material to APL and its service providers, including OpenAI, to generate the coaching shown to the user. Before the first analysis, the add-in presents an in-product disclosure and requires the user's affirmative action to continue. A Client's installation or authorization of an add-in does not replace notice or consent required from the individual user by law, Google policy, or Microsoft policy.
Users remain responsible for deciding whether to submit a message for analysis. Do not analyze a message if you lack authority to share its content with the Services.
4. Privacy and platform data
The APL Privacy Policy, available at https://www.awesomepeopleleaders.com/privacy-policy, explains how APL accesses, uses, stores, shares, and deletes personal information. The Privacy Policy controls if these Terms describe personal-information practices more broadly.
APL handles Google Workspace data and information derived from it under the Google API Services User Data Policy, including the Limited Use requirements. APL does not sell Google Workspace data or its derivations, use them for advertising or data-broker activities, use them for credit or lending decisions, or use them to train generalized or foundation AI models. Any general right in these Terms to use aggregated, anonymized, or de-identified information excludes Google Workspace data and its derivations except for uses permitted by Google's policies and described in the Privacy Policy.
APL does not use or transfer Microsoft API data, including aggregated, anonymized, or derived data, for advertising or marketing. APL provides updated notice and obtains any consent required by law or platform policy before materially expanding the purpose for or permissions to Google Workspace or Microsoft 365 data.
5. AI-assisted features
The Services use artificial intelligence to generate request-specific coaching, classifications, and course suggestions. The output may be incomplete, inaccurate, or inappropriate for a particular situation. You must review the output and use your own judgment.
APL sends selected email content and relevant APL course material to OpenAI through its business API. OpenAI states that API data is not used to train or improve its models unless the customer explicitly opts in. APL does not opt in to training with Microsoft 365 or Google Workspace content. Under OpenAI's standard API controls, customer content may appear in abuse-monitoring logs retained for up to 30 days unless a different approved retention control applies or longer retention is required to comply with law or protect the service or a third party from harm. The Privacy Policy contains more detail.
The Services provide coaching and educational support. They do not make employment, legal, medical, financial, credit, or other decisions producing legal or similarly significant effects about a person. Clients and users remain responsible for their own decisions.
6. Client administration and reporting
A Client may administer accounts, assign access, and receive the reporting described in its agreement and the Privacy Policy. Client reports do not include raw email content or Google-derived classifications tied to a named individual. Organization and department reporting uses aggregate views and privacy controls. An individual user may receive a personal view of their own activity.
APL may retain identity-linked operational records to enforce organization boundaries, provide support, maintain security, apply privacy thresholds, and administer Client accounts. APL personnel may access those records only as allowed by the Privacy Policy.
7. User content and feedback
You retain your rights in content that you or a Client provides to the Services. You grant APL a limited right to process that content only as needed to provide, secure, support, and comply with legal obligations relating to the Services. This right ends when the content is deleted, except for lawful backup, security, contractual, or legal retention.
If you voluntarily send suggestions or general product feedback that does not contain Client confidential information or personal information, APL may use it without restriction or payment to improve the Services.
8. Third-party services
The Services work with third-party platforms and providers, including Microsoft, Google, OpenAI, Teachable, and Microsoft Azure. Those services may have their own terms and privacy policies. APL does not control a third-party service's independent operation or availability. APL remains responsible for the service providers it engages to process personal information to the extent required by applicable law, contract, and platform policy.
APL may replace a provider or integration when reasonably necessary. Before a change materially expands how Google Workspace or Microsoft 365 data is accessed, used, retained, or shared, APL will update its disclosures and obtain any consent required by law or platform policy.
9. Fees, payment, and digital services
Fees, subscription terms, and payment schedules appear in the applicable order form, invoice, checkout, or Client agreement. Unless that document says otherwise, fees are non-refundable to the extent permitted by law. APL may suspend paid Services while an undisputed amount remains overdue.
Third-party payment providers process payment-card information. APL does not intentionally collect or store complete payment-card details through the Services. APL may receive transaction status and related billing information.
Digital content and services are delivered electronically. You are responsible for compatible devices, software, connectivity, and platform accounts.
10. APL content and intellectual property
APL and its licensors own the Services, software, designs, course material, documentation, trademarks, logos, and other APL content. These Terms do not transfer ownership to you. You may use APL content only as the Services and the applicable Client agreement permit.
Third-party names, marks, and materials remain the property of their owners. Access to a third-party resource is subject to that provider's terms.
11. Service changes and availability
APL may update the Services for security, legal compliance, reliability, compatibility, or product development. APL may interrupt the Services for maintenance or circumstances outside its reasonable control. APL will provide notice when reasonably practical.
APL may suspend or discontinue a Service subject to any Client agreement and applicable law. If a paid Service is discontinued, the applicable Client agreement governs refunds, data export, transition assistance, and continued access.
12. Disclaimers
To the maximum extent permitted by law, the Services are provided "as is" and "as available." APL disclaims implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. APL does not warrant that the Services will be uninterrupted or error-free, or that AI-generated output will be accurate or appropriate for a particular decision.
Nothing in these Terms excludes a warranty or right that applicable law does not permit APL to exclude.
13. Limitation of liability
To the maximum extent permitted by law, APL and its officers, directors, employees, contractors, affiliates, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, goodwill, or data, arising from the Services.
Unless a Client agreement states otherwise, APL's total liability arising from or related to the Services will not exceed the amount paid to APL for the affected Service during the 12 months before the event giving rise to the claim.
These limitations do not apply where prohibited by law or to liability that cannot lawfully be limited.
14. Indemnification
To the extent permitted by law, a business user agrees to defend and indemnify APL and its officers, directors, employees, contractors, and affiliates from third-party claims arising from the user's unlawful use of the Services, violation of these Terms, or infringement of another person's rights. A Client agreement controls any different indemnification obligations between APL and that Client.
15. Changes to these Terms
APL may update these Terms as the Services or legal obligations change. We will post the revised Terms with an updated date. If a change materially affects user rights or expands how personal information is accessed, used, retained, or shared, APL will provide additional notice and obtain any consent required by law or platform policy before the change takes effect.
Continued use after the effective date of revised Terms means you accept them, unless applicable law requires another form of acceptance. The prior version governs activity before the revised Terms take effect. You may request an earlier version from APL.
16. Governing law and disputes
These Terms are governed by the laws of the State of Indiana, without regard to conflict-of-law rules. Courts located in Marion County, Indiana have exclusive jurisdiction over disputes arising from these Terms, except where applicable consumer law requires another forum or governing law.
17. General provisions
If APL does not enforce a provision, that does not waive the right to enforce it later. If a court finds a provision invalid or unenforceable, the remaining provisions remain in effect and the affected provision will be enforced to the maximum lawful extent.
APL may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets, subject to the Privacy Policy and applicable consent requirements. You may not assign your rights or obligations without APL's written permission.
Provisions that by their nature should continue after termination will survive, including intellectual-property protections, payment obligations, disclaimers, liability limits, indemnification, and dispute provisions.
